1. Agreement and scope
These Terms of Service (“Terms”) are a binding agreement between you and Ecomama Farms LLC (“Ecomama Farms,” “we,” “us,” or “our”). They govern your access to and use of the Ecomama Farms customer relationship management platform at crm.ecomamafarms.com, including its inquiry forms, staff workspace, client portals, proposals, contracts, document tools, calendar features, invoices, and related communications (collectively, the “CRM”).
By accessing or using the CRM, creating an account, submitting a form, or clicking to accept these Terms, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the CRM.
2. Eligibility and authority
You must be at least 18 years old and legally capable of entering an agreement to use the CRM. If you use the CRM for an organization, couple, client, vendor, or other person, you represent that you have authority to act for that party and to provide the information you submit.
Staff-only features may be used solely by Ecomama Farms personnel and other users whom Ecomama Farms expressly authorizes. Client portals and invitation links may be used only by their intended recipients.
3. Relationship to event agreements
The CRM is a tool for managing inquiries and event-related business records. These Terms do not themselves reserve a date, create an event booking, guarantee venue availability, or replace a signed venue, coordination, catering, vendor, or other event agreement.
Pricing, deposits, cancellation terms, insurance requirements, venue rules, event services, and other booking obligations are governed by the applicable proposal, contract, invoice, or written agreement. If these Terms conflict with a signed event agreement on an event-specific issue, the signed event agreement controls that issue.
4. Accounts and security
You agree to provide accurate, current information and to keep account and contact information reasonably up to date. You are responsible for safeguarding your password, portal token, invitation link, and other credentials and for activity occurring through your access.
You may not:
- Share staff credentials or impersonate another user.
- Use another person’s account, portal, or invitation without permission.
- Attempt to bypass authentication, permissions, rate limits, or security controls.
Notify us promptly at kristie@ecomamafarms.com if you suspect unauthorized use or loss of credentials. We may require password changes, revoke sessions, or take other protective action.
5. Acceptable use
You agree not to use the CRM to:
- Violate any law, regulation, court order, or third-party right.
- Upload or transmit unlawful, fraudulent, defamatory, infringing, threatening, harassing, discriminatory, or malicious content.
- Access, collect, disclose, or use personal information without authorization or for a purpose unrelated to an Ecomama Farms inquiry, event, or operation.
- Introduce malware, exploit vulnerabilities, probe systems without written permission, or interfere with the CRM’s operation.
- Scrape, crawl, copy, reverse engineer, decompile, or attempt to derive source code, except to the limited extent a restriction is prohibited by law.
- Send spam, phishing messages, misleading communications, or unsolicited promotions.
- Use automated tools or agents in a manner that exceeds granted permissions, circumvents controls, or causes unreasonable load.
- Use the CRM to build a competing database, service, or commercial product without our written permission.
We may investigate suspected misuse and preserve or disclose relevant records when reasonably necessary to protect users, the CRM, Ecomama Farms, or others.
6. Your content and business records
“Your Content” means information and materials you submit or direct us to process through the CRM, including form responses, messages, documents, images, planning details, and calendar information. As between you and Ecomama Farms, you retain any rights you hold in Your Content.
You grant Ecomama Farms a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, transmit, display, and otherwise process Your Content as reasonably necessary to operate the CRM, provide requested event and business services, maintain records, enforce agreements, and comply with law.
You represent that Your Content is accurate to the best of your knowledge, that you have the rights and permissions needed to provide it, and that our permitted processing will not violate another person’s rights. Do not submit unnecessary highly sensitive information, malicious files, or content unrelated to the applicable inquiry, event, or business process.
CRM entries, calendar displays, availability indicators, and workflow statuses may reflect information from multiple users and integrations. You are responsible for confirming important dates, payment obligations, contract terms, and event details in the applicable signed documents and direct communications.
7. Communications
By providing contact information, you authorize Ecomama Farms to send communications reasonably related to your inquiry, account, event, proposal, contract, invoice, payment, security, or requested service. Communications may be sent through email and other contact methods you provide or request.
You may unsubscribe from eligible promotional emails using the instructions in the message or by contacting us. Even after opting out of promotions, we may send transactional, relationship, legal, or security communications. You are responsible for keeping your contact details current and for checking messages associated with an active event or account.
8. Electronic records and signatures
The CRM may present documents electronically and may use DocuSign or another provider to create, send, track, and retain electronic signature workflows. By choosing to sign electronically, you consent to using electronic records and signatures for the applicable transaction and agree that they may have the same legal effect as paper records and handwritten signatures, subject to applicable law and any disclosures shown during signing.
Before signing, review the complete document, verify signer and event details, and download or retain a copy for your records. If you need a non-electronic method or have difficulty accessing a document, contact us before signing.
9. Third-party services and integrations
The CRM may interoperate with third-party services such as Google Calendar, DocuSign, Resend, Calendly, Typeform, file storage services, and billing or payment providers. Your use of a third-party service may also be governed by that provider’s terms and privacy notice.
When an authorized administrator connects an integration, you direct us to exchange the information reasonably necessary to provide the connected feature. You are responsible for maintaining the third-party account and permissions needed for the integration. Third-party service changes, outages, authorization revocations, or API limits may interrupt CRM features.
Google Calendar access is optional. Authorized administrators may connect or disconnect an account, and Google users may revoke access through Google Account settings. Our processing of Google user data is described in the Privacy Policy.
Links to third-party websites are provided for convenience and do not imply that Ecomama Farms controls or endorses their content, availability, or practices.
10. Proposals, invoices, and payments
Proposals, invoices, payment schedules, and payment statuses displayed in the CRM are business records associated with the applicable event or service. Amounts, due dates, refund rights, cancellation charges, and other financial obligations are governed by the applicable signed agreement and invoice.
A status shown in the CRM does not modify a contract or establish that funds have finally cleared. Payment processing may be performed by a third-party provider under its own terms. You are responsible for reviewing confirmations and promptly reporting discrepancies.
11. Intellectual property
The CRM, including its software, interface, design, workflows, templates, text, graphics, branding, and documentation, is owned by Ecomama Farms or its licensors and is protected by intellectual property and other laws. Except for the limited right to use the CRM under these Terms, no rights are granted to you.
“Ecomama Farms,” associated names, logos, and trade dress are marks of Ecomama Farms. You may not use them in a way that suggests sponsorship or endorsement without written permission.
If you provide suggestions or feedback about the CRM, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use that feedback without restriction or compensation, provided we do not publicly identify you as its source without permission.
12. Service availability and changes
We may maintain, update, modify, or discontinue CRM features and may impose reasonable operational or security limits. We aim to provide a reliable service but do not guarantee continuous, uninterrupted, or error-free availability. Maintenance, internet failures, third-party outages, emergencies, and events beyond our control may interrupt access.
The CRM is not an emergency service or the exclusive method for time-sensitive event communications. For urgent event matters, contact your Ecomama Farms representative directly using an agreed contact method.
13. Suspension and termination
You may stop using the CRM at any time. Ecomama Farms may suspend, restrict, or terminate access if we reasonably believe it is necessary to protect security or privacy, investigate misuse, comply with law, address nonpayment or a contractual breach, or discontinue the CRM. Where reasonable, we will provide notice and an opportunity to address the issue.
Termination of CRM access does not by itself cancel an event agreement or eliminate outstanding payment, confidentiality, indemnity, record retention, or other obligations that by their nature survive. Sections concerning content licenses, intellectual property, disclaimers, liability, indemnification, disputes, and general terms survive termination.
14. Disclaimers
To the maximum extent permitted by law, the CRM is provided “as is” and “as available.” Ecomama Farms disclaims all express, implied, and statutory warranties concerning the CRM, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and security.
We do not warrant that the CRM will be uninterrupted or error-free, that all defects will be corrected, that third-party integrations will remain available, or that CRM records will satisfy every legal, accounting, insurance, or regulatory requirement applicable to you. Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.
15. Limitation of liability
To the maximum extent permitted by law, Ecomama Farms and its owners, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, data, or goodwill, arising from or related to the CRM, even if advised that such damages were possible.
To the maximum extent permitted by law, the aggregate liability of Ecomama Farms for claims arising from or related specifically to the CRM will not exceed the greater of (a) the amount you paid, if any, specifically for access to the CRM during the 12 months before the event giving rise to the claim or (b) one hundred U.S. dollars (US $100).
These limitations do not limit liability that cannot lawfully be limited and do not alter remedies expressly provided in a separate signed event agreement.
16. Indemnification
To the extent permitted by law, if you use the CRM for business or professional purposes, you agree to defend, indemnify, and hold harmless Ecomama Farms and its owners, officers, employees, contractors, and agents from third-party claims, liabilities, damages, judgments, losses, and reasonable costs arising from your unlawful or unauthorized use of the CRM, Your Content, your violation of these Terms, or your violation of another person’s rights.
This section does not require a consumer to indemnify Ecomama Farms for Ecomama Farms’ own unlawful conduct and applies only to the extent permitted by applicable law.
17. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Before filing a formal claim concerning the CRM, you and Ecomama Farms agree to make a reasonable good-faith effort to resolve the matter informally. Send a written description of the concern and requested resolution to the contact information below.
If a dispute cannot be resolved informally, and unless applicable law requires otherwise, the state and federal courts located in Santa Barbara County, California will have exclusive jurisdiction. You and Ecomama Farms consent to personal jurisdiction and venue in those courts.
18. General terms
Changes to these Terms
We may update these Terms to reflect changes to the CRM, our practices, or applicable law. We will post updated Terms here and change the “Last updated” date. If a change materially affects your rights, we will provide additional notice when required. Continued use after the effective date of updated Terms constitutes acceptance to the extent permitted by law.
Entire agreement
These Terms and the Privacy Policy are the entire agreement concerning use of the CRM, except that separate signed agreements continue to govern their respective event services, transactions, and obligations.
Severability and waiver
If a provision is found unenforceable, it will be modified only as necessary to make it enforceable, and the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver.
Assignment
You may not assign these Terms without our written consent. We may assign them in connection with a merger, reorganization, sale of assets, or transfer of the CRM, subject to applicable law.
No third-party beneficiaries
These Terms do not create rights for any third party except as expressly stated.
